01 Agreement to Terms

These Terms of Service constitute a legally binding agreement between you ("Subscriber") and Nexova Digital Solution (SSM No. 202603049266 / CA0417238-V), No. 6, Jalan U13/53A, Eco Ardence Seksyen U13, 40170 Shah Alam, Selangor, Malaysia. These Terms are governed by the Electronic Commerce Act 2006, Consumer Protection Act 1999, and applicable Malaysian law.

02 The Nexova AI Service

Nexova AI is a Software-as-a-Service (SaaS) platform that generates Traditional Chinese social media content for businesses. The service includes:

• AI-powered Chinese copywriting for Facebook, Instagram, 小红书, TikTok, and LINE
• Market-specific tone tuning for Malaysia, Singapore, Taiwan, and Hong Kong
• Content scheduling and publishing tools
• Content performance insights and analytics

We reserve the right to modify, suspend, or discontinue features with reasonable notice to active subscribers.

03 Subscription Plans and Payment

Subscription Plans

We offer three subscription tiers (Starter, Pro, Business) billed monthly or annually. Plan details and pricing are as displayed on the pricing page at the time of purchase.

Free Trial

New subscribers receive a 7-day free trial with full Pro access. No credit card is required to begin the trial. You may cancel before the trial ends without charge.

Billing

• All prices are in Malaysian Ringgit (MYR) unless stated otherwise
• Subscriptions renew automatically at the end of each billing period
• Payments are processed securely via Stripe Inc.
• Annual plans are billed in full upfront
• You will receive an invoice to your registered email address

04 Cancellation

You may cancel your subscription at any time. There are no cancellation fees and no minimum commitment period. Upon cancellation:

• Your access continues until the end of the current paid billing period
• Your account and generated content history are retained for 90 days
• After 90 days, your data will be permanently deleted
• We do not offer prorated refunds for unused days in the current billing period

05 Acceptable Use

You agree to use Nexova AI only for lawful purposes. You must not use the platform to:

• Generate content that is defamatory, harassing, or discriminatory
• Create spam, phishing content, or deceptive advertising
• Violate any applicable law or regulation
• Attempt to access, scrape, or reverse-engineer our AI systems
• Share your account credentials with parties outside your plan's user limit

We reserve the right to suspend accounts that violate these terms without refund.

06 Content Ownership

You retain ownership of all content inputs you provide (e.g., product descriptions, topics). The AI-generated output produced using your inputs is yours to use commercially without restriction.

We do not claim ownership of content generated through the platform. However, you acknowledge that similar outputs may be generated for other users who provide similar inputs.

07 Intellectual Property

The Nexova AI platform, including its interface, AI models, algorithms, and branding, is the exclusive intellectual property of Nexova Digital Solution. You may not copy, reproduce, or create derivative works from any part of the platform.

08 Disclaimers and Limitation of Liability

The Nexova AI service is provided "as is." We do not guarantee that AI-generated content will be error-free, suitable for every use case, or compliant with specific platform advertising policies.

• Our total liability shall not exceed the amount you paid in the preceding 3 months
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for third-party platforms (Facebook, Instagram, etc.) changing their policies or APIs
• AI-generated content should be reviewed before publishing — we are not liable for consequences of published content

09 Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers of material changes via email or WhatsApp at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.

10 Governing Law

These Terms are governed by the laws of Malaysia. Any disputes shall first be attempted through good-faith negotiation. Unresolved disputes shall be subject to the jurisdiction of the courts of Malaysia.
